Limitation of Liability:
Under no circumstances, including for breach of contract, tort, negligence, or other form of action, shall either party be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or connected with this Contract or the transactions it contemplates.
The Planner promises to do their best to discover reputable and suitable suppliers and/or service providers, but they are not accountable for their output or performance.
Other than the date specified above in this Contract, the Planner's availability is not promised.
Dispute Resolution:
The Parties agree to use mediation if a dispute arising out of this Contract cannot be settled by mutual consent. The victorious Party will be entitled to its legal fees, including but not limited to its attorneys' fees, in the event that the dispute cannot be settled through mediation and legal action is taken.
Severability:
If a court of competent jurisdiction finds any provision of this Contract to be invalid and unenforceable, the other sections will still be enforceable in line with the parties' intentions.
Governing Law:
The laws of __________________ shall apply to the interpretation and application of this Contract.
Entire Contract:
This Contract contains the entire agreement and understanding between the Parties hereto with respect to the subject matter hereof and supersedes all prior express or implied, oral or written, of any nature whatsoever agreements, understandings, inducements, and conditions with respect to such subject matter. Any usage of the trade that conflicts with any of the terms herein is superseded and replaced by the express terms hereof.
