Independent Contractor Agreement

This agreement is made and entered into as of _______________________. ("Effective Date") by and between _______________________., hereinafter referred to as "Independent", the independent contractor, and _______________________., a customer of Independent. In consideration of the mutual covenants contained herein, the parties agree as follows:

  1. Services Provided

The services provided for this agreement are those described in Statement 1 from the attached document(s). This statement may be changed or modified from time to time upon written notice by either party to the other. Changes shall only apply prospectively unless otherwise agreed to in writing by both parties. The terms of Statement 1 shall remain binding until such modification is given. The specific work that will be performed under this statement is _______________________.

  1. Price and Payment

The price for the services provided shall be $_______________________., payable in advance on the first day of each month of the term of this agreement. Payment can be made by check or money order mailed to _______________________. at . If payment is not received by the fifth day of the month, a late payment fee of $. per day will be assessed. Any disputes over price or work to be done shall be resolved by arbitration as detailed in Section 8 below.

  1. Term; Termination

This agreement shall commence on the Effective Date and continue for _______________________. months after that unless terminated earlier as provided herein. Neither party may terminate this agreement upon thirty (30) days written notice to the other, for any reason or no reason. Upon termination, the Independent shall immediately cease work and be paid in full for all services rendered through the effective date of termination.

  1. Cancellation

If the customer cancels this agreement more than _______________________. days before the commencement of services, then they will forfeit their deposit and be responsible for all other costs incurred up to that point. If the customer cancels this agreement less than _______________________. days before the commencement of services, then they will forfeit their deposit and be responsible for 50% of all other costs incurred up to that point.

  1. Ownership of Work Product

The contractor agrees that all sketches, notes, records, data, outlines, plans, drawings, specifications, designs and works of any kind produced in providing services to the customer will remain their property. However, upon request by the contractor or by law or regulation that requires sharing information with others in the general public interest at the time of contracting for services, this agreement shall be terminated immediately if unable to do so.

  1. Independent Contractor Status

Both parties are independent contractors under this agreement. Neither party is authorised to act on behalf of or create a liability against the other party. Neither party may bind or obligate the other without prior written consent from both parties. Any work performed by Independent outside of their duties described in Statement 1 shall not be considered part of their duties hereunder without the express written consent from the customer.

  1. Indemnification

The contractor agrees to indemnify and hold harmless the customer, its employees, agents, assigns or legal representatives for any claims arising out of their negligence or failure to perform services in this contract that result in bodily injury or property damage. The contractor further agrees to defend the customer against any such claims at their own expense and advance all related costs, including reasonable attorney's fees. However, Independent shall not indemnify nor hold harmless the customer for any wrongful act or omission if done with the knowledge that it is outside the scope of work provided for this agreement and within Independent's sole discretion and judgment and with full awareness of possible consequences.

  1. Dispute Resolution

Any disputes between the parties arising out of or relating to this agreement shall be resolved by arbitration by the rules of the American Arbitration Association. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The costs of arbitration, including the arbitrator's fees (s), will be borne equally by both parties. Each party will pay the costs and expenses incurred in any arbitration proceeding, including attorney's fees. This Section 8 shall survive termination of this agreement.

  1. Miscellaneous

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral. This agreement may not be amended except in writing signed by both parties. This agreement shall be construed under the laws of the State of California applicable to agreements performed entirely in that state. Suppose any part of this agreement is held invalid or unenforceable. In that case, that portion shall be construed consistent with applicable law as nearly as possible and remain in effect and judgment on such clause(s) shall not affect the validity of the remainder of this agreement. This agreement is personal to Independent and does not create a partnership between them and the customer nor confer third-party beneficiary rights. Notices sent hereunder shall be made by email unless otherwise specified in writing by both parties.
